Descriptions of services on the Site are provided for general information only and do not constitute an offer, a guarantee of availability, or a commitment to provide services. No consulting, advisory, fiduciary, or other professional relationship is created between you and KKDR by your use of the Site or by your submission of an inquiry. Any engagement is subject to a separate written agreement — such as a proposal, statement of work, or services agreement — mutually executed by you and KKDR, which will govern the scope, deliverables, fees, and terms of that engagement. In the event of a conflict between such a written agreement and these Terms with respect to the engagement, the written agreement controls.
When you submit an inquiry or other information through a form on the Site, you represent that the information you provide is accurate and that you have the right to provide it. You should not submit confidential, proprietary, or sensitive information through the Site's forms. TO THE FULLEST EXTENT PERMITTED BY LAW, KKDR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless KKDR and its owners, partners, personnel, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of a third party or any applicable law.
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect information in connection with the Site and is incorporated into these Terms by reference.
These Terms and any dispute or claim arising out of or in connection with them or your use of the Site are governed by and construed in accordance with the laws of the United States and the State in which KKDR maintains its principal place of business, without regard to conflict-of-law principles that would require the application of the law of another jurisdiction.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in the United States in the jurisdiction of KKDR's principal place of business, and you consent to the personal jurisdiction of such courts. Before initiating any formal proceeding, you agree to first contact us through the Contact page and attempt to resolve the matter in good faith. Any claim must be brought within one (1) year after it arises, to the extent permitted by applicable law.
We reserve the right, in our sole discretion and without notice, to suspend, restrict, or terminate your access to all or part of the Site at any time, including for any conduct we believe violates these Terms or is otherwise harmful to KKDR or others. The provisions of these Terms that by their nature should survive termination — including Sections 6, 8–13, 15, 16, and 18 — will survive.
Entire Agreement. These Terms, together with the Privacy Policy and any written agreement governing a specific engagement, constitute the entire agreement between you and KKDR regarding the Site and supersede all prior understandings on that subject.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure. KKDR will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
Headings. Section headings are for convenience only and do not affect interpretation.
We reserve the right to modify or replace these Terms at any time in our sole discretion. When we do, we will revise the "Last Updated" date at the top of this page, and, where appropriate, provide additional notice on the Site. Changes are effective upon posting. Your continued access to or use of the Site after any revision becomes effective constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
